A Legal Specialist is responsible for ensuring that all company operations comply with current laws and regulations. This position plays a vital role in providing legal advice, drafting, reviewing, and managing contracts and documents, as well as supporting the management team in preventing and handling risks that may arise during business activities.

1. Job Description

– Advisory:

+ Research legal documents and provide advice to the Management Board on issues arising from business and operational activities.

+ Advise on procedures and tasks in compliance with applicable laws and regulations.

– Contract/Transaction Management:

+ Draft, review, and revise contracts and transactions with clients, suppliers, and strategic partners.

+ Provide opinions and assess potential risks related to contracts and transactions upon request.

+ Monitor contract execution and remind departments of renewal, termination, or liquidation timelines.

+ Coordinate with relevant departments to review terms and conditions, and assist in negotiations with clients, partners, and suppliers.

– Internal Legal Documentation Control: Review, revise, or recommend improvements to internal legal documents and company policies to ensure compliance with State regulations.

– Research and Support:

+ Conduct legal research and provide responses to inquiries from other departments as needed.

+ Develop or coordinate with departments to build internal procedures, policies, and regulations to ensure compliance across company operations.

– Dispute Resolution and Third-Party Liaison: Participate in negotiation, mediation, and resolution of disputes involving customers, suppliers, or State authorities (if any).

– Corporate Registration and Administration: Handle procedures related to changes in business registration, including company/branch/representative office establishment, capital increases, or business line additions.

– Reporting: Prepare weekly, monthly, and annual work reports, as well as ad-hoc reports as required.

– Other Tasks: Perform other legal tasks as assigned by the Members’ Council and the General Director.

2. Reporting Line

– Report directly to the Members’ Council, General Director, and related departments.

3. Job Requirements

– Bachelor’s degree in Law;

– Lawyer’s practicing certificate is an advantage;

– Solid understanding of Enterprise Law, Commercial Law, Labor Law, Investment Law, Real Estate Law, etc.;

– Minimum of 2 years of experience in a similar position;

– Logical thinking, sharpness, integrity, carefulness, and strong sense of responsibility and teamwork;

– Strong research, analytical, and problem-solving skills in legal matters;

– Excellent communication, persuasion, and presentation skills;

– Strong negotiation skills;

– Good command of English;

– Proficient in MS Office.
